Alternative Dispute Resolution

We have been involved in several negotiated settlements, Mediations and Arbitrations in high value contractual transactions. Our members have acted as Arbitrators and as counsel in several construction, Insurance and Investment contract arbitrations both institutional and adhoc, representing Sub-national sovereigns , multinationals and public quoted companies. The firm was involved in the over $150m construction project arbitration claim against Nigerian Telecommunications Limited, and successfully prosecuted as Counsel to the Claimant in the N2Billion Lagos Airport Cargo Apron Construction Arbitration claim. Our Partner led the team that represented a Sub-regional sovereign in a $100M fertilizer plant Investment project Arbitration. The firm has as Partners and members internationally certified Mediators and experienced Chartered Arbitrators. One of our partners serves on the Panel of Neutrals to the Lagos and Oyo states' Multi Door Court Houses in Nigeria and is a Fellow of the Chartered Institute of Arbitrators.

Banking

We regularly advise investors, entrepreneurs and financial institutions on Loan financing, debt recovery, multi-tier and multi-party financing. We often advise on project finance and currently we are advisers to a consortium of promoters of a waste material collection and recovery company in a $220M end to end waste to power concession project with a Sub-national sovereign in Nigeria. Our innovative negotiation skills have been an advantage to our clients in structuring financial arrangements for our clients, including Ecobank Transnational Inc, Wemabank Plc, Heritage Bank Ltd, ETI Specialized Finance Company LLC, Mauritius, and its Nigerian subsidiary, ETI Specialized Resolution Company Limited, among others, many of whom we also advise on Insolvency laws and represent in debt recovery litigation matters.

Civil & Criminal Litigation

Prime Solicitors is respected by its peers in the field of litigation, especially commercial litigation. Our members are experienced advocates that regularly plead before the High Courts, Appeal courts and the Supreme Court. We act as advisers to various companies and corporate organizations on corporate law, Tax Laws, business laws of Nigeria, among other corporate practice matters. We also, undertake registrations of businesses, due diligence and corporate restructuring, and regularly advise our clients across several sectors on regulatory and compliance issues. Computer Law

The firm routinely provides representation and advice on investment laws and doing business in Nigeria. We provide creative solutions to our clients and are well regarded for our business litigation advisory practice for which we were consecutively recognized and awarded Best Litigation Advisory firm in Nigeria by Acquisition International and Corporate International Magazines over the last 3 years. The firm assists offshore clients in setting up representative offices, obtaining business & work permits, expatriate quotas, and provide advice on financial sources and tax Laws of Nigeria. We recently provided legal representation and advisory services to a growing Medical Fintech Start-up pioneering the offering of Telemedicine services in Nigeria, while also currently advising a host of other investors in Fintech, Power, agriculture and food processing. Product franchise, distributorship agreements, are also areas of commercial advisory work we often undertake.

Employment & Immigration Law

We undertake processing of business permits, expatriate quotas, investment papers for our expatriate clients, and process naturalization as citizens for intending applicants.

Intellectual Property & Entertainment Law

Prime Solicitors has done considerable work in the area of copyrights, patents and trademarks. We are involved in registrations, monitoring, management and enforcement of intellectual property rights on behalf of authors, Intellectual Property owners and Assignees. The firm has advised some of the large film corporations in the United States. The first internet law related copyright protection case in Nigeria, was successfully prosecuted by this firm in 2003 with our Oluseun Abimbola SAN as the lead counsel to the copyright owners, and have since acquired significant innovative skills, creativity in IP enforcement . We are regularly consulted to procure trademark registrations in Nigeria by numerous proprietors, foreign corporations and Attorneys.

Oil & Gas/Environmental law

The firm provides representation and advice on joint venture agreements, Production Sharing Contracts, Nigeria's Petroleum Legislations, and Petroleum Tax Policies. We have advised various major and indigenous operators and oil service companies including Nigerian National Petroleum Corporation (NNPC), Halliburton, Optitech Process Solutions Ltd among others. We also obtain necessary approvals, permits and licences for prospective investors and technical partners in this sector. We also advise on Nigerian environmental regulatory and safety laws.

Project Finance

Our firm was involved in advising, and our Partner acted as Co-advisers for AIC Limited (African Development Bank and World Bank Consultants), in respect of various Engineering, Constructions and Procurement Projects handled by the company, and financed by these institutions, including the multi-million dollar water rehabilitation project, zone F, comprising of 4 states in Nigeria financed by the World Bank. We recently served as lead advisers to the project contractors awarded the Moniya - Iseyin N9.0Billion road project in Oyo state, Nigeria in a multi-guarantee Contractor finance transaction with the Sub-national entity and lenders. We are also involved as advisers to the Contractors on the financing structure for theN80billion Ibadan-Ife-Ilesha road reconstruction work spanning two states in Nigeria. Our end to end service in project finance gives us the experience not just as Advisers for financial arrangements, but as Counsel and Arbitrators in disputes arising from Construction projects financed by local and foreign institutions.

Real Estate

The firm acts as agents & Solicitors to Real Estate investors, involving choice properties, industrial and commercial properties, estate development etc. We negotiate and prepare conveyances, lease agreements and contractor financed development agreements. We also advise and act as counsel to other professionals operating in this field including Estate Valuers, etc. The firm is presently advising a group of foreign investors in respect of the acquisition of prime locations in the Federal Capital, Abuja and syndication of financing and multiple construction contracts for a major housing project in Abuja and Lagos. We recently advised on a corporate asset re-arrangement/ asset restructuring and registration work for a major multinational conglomerate in Nigeria as part of a scheme of company restructuring in respect of their real estate assets valued in excess of $100,000,000.00.

Telecommunications

This is one of the specialized fields of our practice in which our firm has had considerable experience in mediating Telecommunication contract disputes, advising on the deregulation of the Industry, and successfully prosecuted resultant litigation. Our firm is reputed for our innovative skills in Telecommunications Law and practice which has benefited, existing companies and other operators in this field. Prime Solicitors advised and acted as counsel to Nigerian Telecommunications Limited (NITEL) a government corporation and perhaps the largest telecommunications company in West Africa in its time, and was involved as advisers for its privatization and unbundling by the Nigerian government. Our firm has an enviabe success rate in telecommunications litigation of having never lost a telecommunications operations litigation, dozens of which we have been involved as solicitors to some of the major networks and Private Telecommunication Operators (PTOs) including Airtel Networks Ltd.
